GENERAL CONDITIONS OF SALE AND SUPPLY
A) General Conditions
1. These General Terms and Conditions (herinafter GTC) define the business terms and conditions between Paul Stricker, S.A. as the Seller and the Buyer.
2. Deviations from these GTC shall only have effect, if they have been confirmed in writing form by Paul Stricker, S.A. These GTC overrule any other purchase agreement proposed by the Buyer or Seller unless specifically mentioned in the purchase agreement.
3. In case of dispute, the jurisdiction will be chosen by Paul Stricker, S.A.
4. Force major is understood to mean any circumstance on the basis of which performance of the agreement can no longer be reasonably demanded by the Buyer, including any case of war, revolt, prohibition imposed on Paul Stricker, S.A. by a third party especially when caused by conflict with the industrial and intellectual property right, export/import prohibition, lack of raw materials and energies, strike, fire and other calamities. Paul Stricker, S.A. has the right to suspend performance of the agreement or to cancel the part or whole agreement in the event of force major on its part without being obliged to pay any damage to the client.
B) Acceptance of orders
1. Products distributed by Paul Stricker, S.A. are meant to be used for publicity and/or promotional purposes and not to be sold to consumers and/or users; Paul Stricker, S.A. is exempt from any liability and/or sanction in case the goods are used by third parties for purposes either than the ones referred above;
2. All sample orders will be debited to the client's account;
3. All orders must be confirmed in writing, by email or fax. Orders can also be placed via our website;
4. Prices charged are presented in our price list and are valid until the expiry date shown on it, except in case of misprint.
5. Goods are delivered in good faith that they do not breach any intellectual property laws or any regulations concerning product and material safety. Paul Stricker, S.A. cannot be held responsible for any costs resulting to the Buyer from the national regulations and laws in the country of the Buyer or that of the delivery of the goods.
C) Order fulfillment
1. Items shown in our catalogues may present slight changes in shape or color without previous warning;
2. Paul Stricker, S.A. reserves the right to not carry out the immediate satisfaction of orders due to client’s non-fulfilment;
3. Estimated delivery dates are non-binding since shipping is carried out by third parties;
4. Deliveries will be carried out by our usual transport agencies; Paul Stricker, S.A. will not be held responsible for any delays or errors after the goods have been dispatched from our warehouse;
5. Standard transport charges will be borne by Paul Stricker, S.A. when order total is over 50€;
6. Estimated shipping costs given in online orders are indicative and may change after the goods have been processed for dispatch at our Paul Stricker, S.A. Warehouse;
7. Even when shipping costs are borne by Paul Stricker, S.A., all goods travel at the client's own risk.
D) Acceptance of complaints and returns
1. Complaints are only accepted in writing, by email or fax.
2. Complaints are only accepted in case of incomplete orders  - with a difference greater than 1% of the invoiced total  - or wrong or defective goods, and when placed within 15 business days  from the disptach date. After this period the order is considered as accepted.
3. Returns are accepted within 15 business days from the disptach date and when goods are properly packed in its original packaging;
4. Complaints about damaged packages will only be accepted if included in the courier's delivery receipt. It is the client's responsibility to inspect the goods once they are delivered;
5. Complaints of manipulated and/or customised items will not be accepted if the manipulation/customisation has not been carried out by Paul Stricker, S.A.; It is the client’s responsibility to examine the goods received regardless of the place of delivery, prior to any manipulation or customization;
6. In case of incomplete orders, Paul Stricker, S.A. may replace the missing goods by means of the same shipping method used in the original order and is not obliged in any circumsatance to borne any costs related to Express shipping;
7. Complaints about late deliveries of customised goods will not be accepted unless the delay exceeds 48 hours after the agreed date at the time of the mockup approval;
8. Partial returns of goods will lead to a revision of the prices charged when the order was made, according to the amounts effectively bought by the customer;
9. In case of returned goods, shipping costs (to and from) will be charged to the client, as well as a fee for goods manipulation (3€ for each parcel returned, up to a maximum of 50€);
10. The collection of faulty or returned goods must be done in the exact same conditions they were delivered in, in terms of packaging and delivery address.
E) Payment terms
1. Clients may be entitled to a credit line subject to a financial analysis by Paul Stricker, S.A.'s financial department;
2. Payments are to be made until the due date shown on the invoices;
3. Past due debts are subject to default interests;
4. Paul Stricker, S.A. has the right to demand advanced payment of goods which have been branded in-house;
5. All debts to Paul Stricker, S.A. must be paid directly to the head office;
6. Paul Stricker, S.A. has the right to suspend supplies at any moment unless any of the norms have not been met;
F) Product customisation
1. The number of customised items may vary in 3% according to the client’s order;
2. Size information in the catalogue and on the web sites of Paul Stricker, S.A. is to be understood as approximate measure and is subject to errors and changes. Material, colour, design, technical condition, packaging of individual items as well as size and type of packaging units are subject to change. All these changes are no reason for claims even if there are deviations within one delivery.
3. Paul Stricker S.A. does not guarantee exact PMS color printing, especially when made on objects with colours other than white;
4. For pre-production samples, besides the price shown in the customisation price list, the price of the product will be charged;
5. The logo or brand to be printed on the goods must be provided in vector digital format which can be edited with Corel Draw 14 (.cdr) or Adobe Illustrator (.ai) computer programs. Otherwise, logo design preparation and digitalization work costs will be charged to the client according to the customisation price list;
6. The purchase agreement is realized by written Order Confirmation from Paul Stricker, S.A. By placing an order the Buyer accepts Paul Stricker, S.A. conditions of sale, supply and payment. Any ineffectiveness of particular conditions has no impact on the effectiveness of the other conditions. If the Buyer cancels or alters the order after the Order Confirmation has been issued, they shall be obliged to pay all costs incurred by Paul Stricker, S.A.
7. "The estimated production deadlines for custom products, counting from the date of approval of the model when done until 13h CET, are:
- 2 working days for orders with customization value up to € 200;
- 3 working days for orders with customization value between € 201 and € 300;
- 5 working days for orders with customization value between € 301 and € 700.
- 7 working days for orders with customization value between € 701 and € 1000.
These deadlines are estimated and non-binding and do not cover embroidery, doming, firing, sandblasting, hydroglaze or hot stamping techniques. Paul Stricker, S.A. will be able to agree with the customer a different delivery time for specific orders.
